by joining this program you are authorizing your credit card to be charged by suki, llc for the product(s) at the time increment specified. no notification is provided for subsequent replenishment service order charges. we are not able to group orders that are placed close in date to each other. if at any time you’d like to cancel the suki, llc replenishment service please e-mail customer service (customerservice@sukiskincare.com) within 15 days of your last order. customer service will confirm your cancellation within 48 hours. unfortunately, we are unable to cancel pending orders.

PROHIBITED USES
the site may be used only for lawful purposes and is available only for your personal, noncommercial use, which shall be limited to viewing the site, purchasing products, providing information to the site, and downloading product information for your personal review. you are responsible for your own communications, including the transmission, posting, and uploading of information and are responsible for the consequences of such communications to the site. suki, llc specifically prohibits any use of the site, and requires all users to agree not to use the site, for any of the following:

LIMITS ON PURCHASES
in an effort to enhance your shopping experience and give as many customers as possible the opportunity to purchase our merchandise, we may place limits on purchases, and we do not authorize the purchase of commercial quantities of our merchandise. we also may, among other things, restrict orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. we reserve the right to limit, cancel or prohibit orders that, in our judgment, appear to be placed in violation of this policy. we further reserve the right to cease doing business with customers who violate this policy. we may modify this policy at any time without prior notice. this policy applies to all purchases of suki, llc merchandise, including, but not limited to, all purchases made at retail stores, sample sales, warehouse sales and through our e-tail partners.

violations of system or network security may result in civil or criminal liability. suki, llc. will investigate occurrences and may involve, and cooperate with, law enforcement authorities in prosecuting any user or users who are involved in such violations. you are prohibited from violating or attempting to violate the security of the site, including, without limitation, the following:

accessing data not intended for you or logging on to a suki, llc server or account, which you are not authorized to access
attempting to probe, scan or test the vulnerability of a system or network or to breach security or authentication measures without proper authorization (or succeeding in such an attempt)

although suki, llc has made every effort to display our products and their colors as accurately as possible, the displayed colors of the products depend upon the monitor of the user, and suki, llc cannot guarantee that the user's monitor will accurately portray the actual colors of the products. products displayed may be out-of-stock or discontinued, and prices are subject to change. suki, llc is not responsible for typographical errors regarding price or any other matter.

DISPUTES
any dispute relating in any way to these terms, your visit to the site, or to any purchase, return or other transaction with suki, llc shall be submitted to confidential arbitration in St. Louis, MO. however, if you have in any manner violated or threatened to violate any suki, llc intellectual property right, we may seek injunctive or other appropriate relief in any state or federal court in the City of St. Louis in the state of Missouri. you consent to exclusive jurisdiction and venue in these courts. any arbitration under this agreement and these terms shall be conducted under the prevailing rules of the American arbitration association. the arbitrator's award shall be binding and may be entered as a judgment in any court of competent jurisdiction. to the fullest extent permitted by applicable law, we agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated or representative action.

GENERAL INFORMATION
these terms constitute the entire agreement between you and suki, llc and govern your use of the site, and they supersede any prior agreements between you and suki, llc you also may be subject to additional terms and conditions that are applicable to certain parts of the site. suki, llc may terminate this agreement and deny you access to the site at any time, immediately and without notice, if in suki, llc's sole discretion you fail to comply with any provision of these terms.

you agree that no joint venture, partnership, employment, or agency relationship exists between suki, llc and you as a result of this agreement or your use of the site.

any claim or cause of action you may have with respect to suki, llc or the site must be commenced within one (1) year after the claim or cause of action arose.

the failure of suki, llc to exercise or enforce any right or provision of these terms shall not constitute a waiver of such right or provision. the invalidity of any term, condition or provision in these terms shall not affect the enforceability of those portions of the terms deemed enforceable by applicable courts of law.

these terms shall be governed by, construed and enforced in accordance with the laws of the state of Missouri without giving effect to any conflict of law provisions. any dispute arising under these terms shall be resolved exclusively by an appropriate federal or state court sitting in the state of Missouri.

you may not assign the terms or any of your rights or obligations under the terms without suki, llc's express written consent. the terms inure to the benefit of suki, llc’s successors, assigns and licensees. the section titles in these terms are for convenience only and have no legal or contractual effect.

CONSUMER TERMS AND CONDITIONS

PAYMENT:
payment is due via credit card when the order is received. we accept only Visa, Mastercard and American Express.

RESTOCKING:
a restocking fee of 10% of the product price will be charged on any authorized return not related to quality issues. a Return Goods Authorization Number (“RGA”) is required prior to product being returned.

RETURN GOODS AUTHORIZATION:
suki, llc wants you to be satisfied with your purchase. suki, llc will only accept returns on items purchased through this website, with a receipt & order number. to return or exchange a purchase please call 1-(888) 858-suki(7864) or email customer service at customerservice@sukiskincare.com within 30 days of receipt of your purchase to receive an RGA. additionally, the product must be at least 3/4 full. we are unable to accept used skin & body care products after this 30 day period. we will gladly replace any damaged or defective item immediately. we only offer product credit on returns. no refunds. products bought at other locations other than sukiskincare.com or directly from suki, llc must be returned there. we cannot accept returns from other locations.

SALES TAXES:
selling price does not include any applicable sales, use, excise or similar taxes. the seller is required to pay and collect such taxes if applicable by law and/or regulations and will be added to customer invoice when product is shipped. if your company is tax exempt, Suki, LLC must have your current Tax Exempt Certificate on file prior to shipping, in order for your purchase to be tax exempt.

DELIVERY CLAUSE:
suki, llc will make every effort to release your product for shipment via UPS within 48 hours of purchase; however, failure to ship your product on the ship date will not void this order.

WARRANTY:
except as expressly set forth herein, there are no warranties, express or implied, with respect to suki skincare products. suki, llc expressly excludes & disclaims any implied warranty of merchantability & any warranties of fitness for a particular purpose, application or use. under no circumstances will suki, llc be liable for special, incidental or consequential damages to any person or entity, whether such damages are sought in contract, in tort (including but not limited to negligence & strict liability) or otherwise, & the liability of suki, llc shall in no event exceed the purchase price of the products on which such liability is based. no person has been authorized to provide any other warranty or assume any other liability with respect to the product except by written statement from an authorized officer of suki, llc.

APPLICABLE LAW:
these terms and conditions and their validity, interpretation, construction and performance shall be governed solely by the laws of the State of Missouri without giving effect to conflicts of laws principles. The parties agree that all disputes will be heard and decided in the City of St. Louis, State of Missouri and all claims of improper venue and forum non conveniens are waived.

CHANGES:
these terms and conditions may be modified and amended from time to time by suki, llc in its sole discretion and the updated version can be obtained from our website at www.sukiskincare.com.

LIMITAION OF LIABILITY:
suki, llc shall not be liable for and buyer assumes all responsibility and liability for all personal injury and property damage arising from buyer’s handling, possession or use of the products. in no event shall suki, llc’s cumulative liability to buyer for losses or damages arising from buyer’s use of or inability to use the product, (whether based in contract or tort, including infringement, negligence, strict liability, or otherwise). regardless of the form of the claim or cause of action, exceed the purchase price of the specific product on which such liability is based. under no circumstances shall suki, llc or any of its agents or representatives be liable for any consequential, special, incidental, or punitive damages arising out of the purchase or use of the product or resulting from the breach of this limited warranty or any implied warranty. the term “consequential damages” shall include, without limitation, loss of use, loss or damage to property, loss of profit or good will, claims of labor, repairs or other expenses incidental to replacement.
